"ASK ANYTHING, CHANGE EVERYTHING" IDEA SUBMISSION

TERMS AND CONDITIONS

The “Ask Anything, Change Everything?” idea submission (“Idea Submission”) is void where prohibited by law.  No fee or purchase of any kind is required to submit your original idea.

Each individual or team that submits an original idea (“Participant”) bears sole responsibility for confirming that the Participant can participate fully and legally in the Idea Submission under the laws of the jurisdictions under which the Participant legally resides.  Any Participant not residing in a country where the Idea Submission is legal in all regards shall not be eligible to submit an Idea Submission. Submission of an original idea in the Idea Submission constitutes each Participant’s representation and warranty that the Participant is at least eighteen (18) years of age and fully and unconditionally agrees to be bound by, and is in full compliance with, the Official Rules.  If a Participant cannot agree to be bound by, and to represent and warrant, full compliance with the Official Rules, the Participant is not eligible to submit an idea to the Idea Submission.

Organizer and Purpose

IDEA SUBMISSION

The Idea Submission is open to any individual person or teams of people who otherwise meet all eligibility requirements as set forth in these Official Rules. The Frontiers Group of the Allen Institute, (“Organizer”) with a principal place of business in Seattle, Washington, USA, is organizing the Idea Submission. Organizer reserves the right in its sole discretion, to use or not use any original idea submission in any manner or for any purpose. Organizer further reserves the right in its sole discretion, to invite any Participant to future events and/or the opportunity to engage with any Participant in potentially assisting in shaping future Requests for Proposals for grant funding in conjunction with the Paul G. Allen Family Foundation. Each submission to the Idea Submission becomes the sole property of the Organizer.

Eligibility and Submission Process

To be eligible to submit an original idea, Participant must submit an original idea fully complying with the requirements of these Official Rules.

Each eligible Participant can submit multiple original ideas to the Idea Submission.  An eligible Participant must contribute an original idea of not more than a one (1) sentence of fifty (50) words in English in response to the question, “What in biology would you measure if you could?” and not more than one (1) paragraph of two hundred (200) words in English in response to the question, “Why this frontier? How would this open a new field?” The submission period begins on February 1st, 2021 and ends on March 16th, 2021.

Original Work and Legal Right to Submit Work

By submitting an original idea (“Submission”), Participant represents and warrants that, consistent with the terms of the Official Rules: (a) the Submission is Participant’s original work; (b) Participant owns any copyright applicable to the Submission; (c) the Submission does not violate, in whole or in part, any existing copyright, trademark, patent or any other intellectual property right of any other person, organization or entity; (d) Participant has confirmed and is unaware of any contractual obligations Participant has which may be inconsistent with these Official Rules and the rights Participant is required to have in the Submission, including but not limited to any prohibitions, obligations or limitations arising from any current or former employment arrangement Participant may have; (e) Participant is not disclosing the confidential, trade secret or proprietary information of any other person or entity, including any obligation Participant may have in connection with or arising from any current or former employment; and (f) Participant has full power and all legal rights to submit a Submission in full compliance with these Official Rules, and understands that the Submission becomes the sole property of the Organizer once submitted.

License and Right to Use Likeness and Work

By submitting an original idea, Participant grants permission and a worldwide, perpetual, royalty-free nonexclusive license to Organizer, and their affiliated entities, advisors, agents and licensees, to use, reproduce, create derivative works, perform, display, distribute, copy, post and share the Submission on any media now known or developed in the future, and in any language in connection with the mission of Organizer.  Organizer and affiliated entities, advisors, agents and licensees shall have the right to use or not use the Submission in any manner or medium they may choose, now or in the future for this purpose.

By submitting a Submission, Participant agrees that Organizer and affiliated entities, advisors, agents and licensees, may use your submitted idea, name, likeness, statements, city and state of residence, biographical information, voice, photo and/or video or other information requested in the future to promote the results of the Idea Submission and mission of Organizer and its affiliated entities, arising from and related to the Submission, worldwide and in perpetuity, in any and all forms of media and print, now known and hereafter devised, including without limitation on the Internet, without restriction as to frequency or duration, and without any further compensation, consideration, notification or permission, except as may be prohibited by law. Such use may include, but is not limited to use in or on social media, websites and press releases, and in connection with any events of any type Organizer and affiliated entities, advisors, agents and licensees, shall hold or participate in, to further Organizer’ mission, but Organizer and affiliated entities, advisors, agents and licensees shall have no obligation to use Participant’s name, likeness, statements, or biographical information in their sole discretion, even if deciding to use the Participant’s Submission. Organizer is not obligated to use any Submission submitted by any Participant, and any such use is at Organizer’s sole discretion.

By submitting a Submission, Participant further agrees that Participant understands that any ideas, suggestions, and/or concepts included in the Submission may be publicly disclosed, available for comment and available, in whole or in part, to others. Organizer has the right to disregard any Submission in its sole discretion without notice to any Participant.

Organizer reserves the right in its sole discretion to cancel, terminate, modify, or suspend the Idea Submission at any time.

Release

By submitting your original idea to the Idea Submission, Participant agrees on behalf of Participant and each of Participant’s respective heirs, executors, administrators, legal representatives, successors and assigns (“Releasing Party”) to these Official Rules and the decisions of the Organizer, and any entities or individuals working on or assisting with the Idea Submission, and by entering, Participant releases, defends and holds harmless the Organizer, and any entities or individuals working on or assisting with the Idea Submission, and any social or other media used for the Idea Submission, and any of their respective officers, directors and employees as applicable (“Released Parties”) from any and all causes of action, controversies, promises, lost profits, indirect or direct damages, consequential damage, incidental damages, punitive or exemplary damages, judgments, claims and demands whosoever, in law, or equity, whether known or unknown, foreseen or unforeseen, which any Releasing Party has or may ever had, now or hereafter, arising from or related to the Idea Submission, these Official Rules, any Submission materials, including but not limited to any use or non-use of any Submission materials, including the email address provided for the submission. Participant acknowledges that any personally identifiable information provided by Participant is voluntary and provided at Participant’s sole discretion to Organizer.

Indemnification

By submitting your original idea to the Idea Submission, Participant agrees to indemnify, defend, and hold harmless the Organizer and any entities or individuals working on or assisting with the Idea Submission, and each of their officers, directors, employees, owners, agents, affiliates, advisors and licensees from and against any and all claims, actions, demands, and liabilities, including those raised or brought by third parties, and any costs and expenses, including, without limitation, reasonable attorney and professional fees and costs, whether now known or unknown, or anticipated or unanticipated.  Participant acknowledges that there are no expressed or implied warranties or representations of any kind extended on behalf of the Organizer to the Participant. Participant further acknowledges that any Submission submitted to the Idea Submission becomes the property of the Organizer.

Choice of Law

The Idea Submission shall be governed by and interpreted under the laws of the State of Washington, United States of America, without regard to conflict of law provisions. Further, Participant acknowledges and agrees that Participant may only assert claims on Participant’s own behalf and not on behalf of any other person or entity arising from, or in connection with, this Idea Submission or these Official Rules.

Arbitration

Any controversy relating to the Idea Submission can be elected in Organizer’s sole discretion to be settled by arbitration in King County, Washington, in accordance with the governing rules of the American Arbitration Association. Any judgment awarded by the arbitrator may be enforced by any court of competent jurisdiction. Any judgment awarded by the arbitrator shall include reasonable costs and attorney's fees in favor of the prevailing party. Notwithstanding the foregoing, if Participant’s actions or threats of actions would reasonably cause the Organizer or its affiliates irreparable harm, the Organizer is entitled to seek injunctive or other equitable relief from a court of competent jurisdiction and money damages.

No Return of Submissions

Submissions cannot be individually acknowledged or returned or withdrawn once submitted.  No Participant shall have the right to be informed of the evaluation or outcome for any Submission, whether the Participant’s own Submission or the Submission of any other individual.
